Terms of Service

1. Who We Are

Outtake Inc. ("Outtake", "we", "our", "us") providesOuttake Verify—a Chrome extension, web application (verify.outtake.ai), and supporting backend that let users cryptographically sign Gmail® emails and verify those signatures.

2. The Service

Outtake connects to your Gmail account through Google-approved OAuth scopes (read-only, drafts, and send) to verify the authenticity of messages and display verification details. All data access, use, and retention practices are governed by our Privacy Policy.

3. Acceptance of These Terms

By creating an Outtake account, installing our Chrome extension, or otherwise using any Outtake service (collectively, the "Service"), you agree to be bound by (a) these Terms of Service ("Terms") and (b) our Privacy Policy (together, the "Agreement"). If you do not accept the Agreement, do not access or use the Service.

4. Eligibility & Account Registration

You must be at least 18 years old (or the age of majority where you live) and legally capable of entering contracts. When you register, you must provide accurate information and keep it current. You are responsible for all activity under your account.

5. Licence & Access

We grant you a personal, revocable, non-exclusive, non-transferable licence to access and use the Service strictly as permitted in this Agreement. All rights not expressly granted are reserved by Outtake.

6. User Obligations

• Security: Keep your login credentials and any private keys secure.
• Compliance: Use the Service only for lawful purposes and in accordance with these Terms, Gmail's policies, and all applicable laws and regulations.
• Prohibited Conduct: You may not (i) reverse-engineer or decompile the Service; (ii) use it to violate privacy or intellectual-property rights of others; (iii) interfere with our systems or attempt to gain unauthorised access.

7. Intellectual-Property Rights

The Service, including all software, text, graphics, and trademarks, is owned by Outtake or its licensors and is protected by intellectual-property laws. You retain any rights you hold in content you lawfully upload or transmit, but grant us a worldwide, royalty-free licence to use that content solely to operate and improve the Service.

9. Disclosure to Third Parties

We share data only with vetted service providers, your enterprise admin (if applicable), or competent authorities when legally required.

10. International Transfers

Transfers outside the EEA/UK rely on SCCs or equivalent safeguards with supplementary encryption measures.

11. Google API Services Compliance

The Extension complies with Google's Limited-Use requirements and processes Gmail data locally, never transmitting message content to our servers.

• TLS 1.3 for data in transit, AES-256 at rest.

14. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." OUTTAKE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not guarantee that the Service will be uninterrupted, error-free, or that it will detect every phishing attempt.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUTTAKE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR LOSS OF PROFITS, DATA, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING UNDER THE AGREEMENT WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100) OR THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, WHICHEVER IS GREATER.

16. Indemnification

You agree to indemnify and hold harmless Outtake, its affiliates, and their officers, directors, employees, and agents from any claims, damages, or expenses (including attorneys' fees) arising out of your use of the Service or violation of this Agreement.

17. Governing Law & Dispute Resolution

This Agreement is governed by the laws of the State of New York, USA, without regard to conflict-of-law principles. Any dispute will be resolved exclusively in the state or federal courts located in New York County, New York, and you consent to their jurisdiction.

18. Changes to This Policy

We will notify users of material changes via in-product banners and email with 30-days' notice when required.
